Please read these Terms and Conditions ("**Terms**") carefully before using our service, accessible via algomcp.com
By registering for, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

**"Service"** means the Model Context Protocol (MCP) server, APIs, tools, dashboards, and any related software or documentation provided by AlgoMCP, which allow Users to connect their own trading models, scripts, or strategies ("**User Models**") to third-party trading platforms.
**"Trading Platform"** means any third-party trading terminal, broker platform, exchange, or trading account (e.g., MetaTrader, a brokerage platform, or exchange API) that the User independently owns, operates, and/or holds login credentials for.
**"Signals"** means any output generated by the Service or by a User Model through the Service — including but not limited to trade ideas, alerts, order suggestions, or instructions — that is transmitted to the User for the User's own review and action.
**"Account"** means the User's registered account with the Service.
**"Subscription"** means the paid plan the User selects to access the Service.

2. Nature of the Service

2.1. The Service is a **technical connectivity and messaging tool**. It allows Users to implement, run, or connect their own trading models via the Model Context Protocol so that Signals can be generated and delivered to the User.
2.2. **The Service does not execute trades, place orders, or take any action on any Trading Platform.** The Service does not connect to, access, or hold custody of any User's Trading Platform login, password, API key, or funds. All execution of trades — whether manual or automated — takes place entirely on the User's own Trading Platform, under the User's own account, login, and infrastructure.
2.3. AlgoMCP is **not a broker, dealer, exchange, investment advisor, portfolio manager, or financial institution**, is not registered as such with any regulator, and does not hold or control client funds at any time.
2.4. Any Signal, output, or Content produced through the Service is generated by the User's own model, configuration, or third-party tools connected via MCP. AlgoMCP does not create, endorse, verify, guarantee, or take responsibility for the trading logic, accuracy, or performance of any User Model.

3. No Investment Advice

3.1. Nothing provided through the Service constitutes financial, investment, legal, or tax advice, or a recommendation or solicitation to buy or sell any financial instrument.
3.2. All information, Signals, and outputs are provided **for informational and technical purposes only**. Trading in financial markets (including forex, CFDs, futures, crypto assets, or any other instrument) carries a high level of risk and may not be suitable for all users. You should seek independent financial advice before making any trading decision.
3.3. Past performance of any User Model, strategy, or backtest is not indicative of future results.

4. User Responsibility

4.1. **You are solely and fully responsible for all trading decisions and trading results.** This includes, without limitation, any decision to act on a Signal, to run a User Model, to connect the Service to a Trading Platform, or to enable any form of automated execution.
4.2. You use your **own Trading Platform account, login, and credentials**. AlgoMCP has no access to, and no ability to control, monitor in real time, or intervene in, any trade placed on your Trading Platform.
4.3. You are responsible for:
- - the security and confidentiality of your own Trading Platform credentials, API keys, and devices;
- - configuring, testing, and validating your own User Models before and while using them;
- - monitoring your own trading activity, open positions, and account balance;
- - complying with the terms of service, risk limits, and rules of your Trading Platform and broker; and
- - complying with all laws and regulations applicable to you and your trading activity in your jurisdiction.
4.4. AlgoMCP shall have no liability whatsoever for any trading loss, missed trade, execution delay, slippage, margin call, liquidation, or other financial consequence arising from or related to your use of the Service, your Trading Platform, or your own decisions.
4.5. You represent that you are at least 18 years old (or the age of majority in your jurisdiction) and legally permitted to use trading services and the Service in your country of residence.

5. Subscriptions, Fees, and Payment

5.1. Access to the Service requires an active paid Subscription at the plan and price displayed at the time of purchase.
5.2. Fees are billed on a recurring basis (e.g., monthly/annually, as selected) and are non-refundable except where required by applicable law or expressly stated otherwise.
5.3. We may change Subscription pricing prospectively upon notice; continued use after a price change constitutes acceptance of the new price.
5.4. You are responsible for any taxes, duties, or bank/payment-processor fees associated with your Subscription.
5.5. We reserve the right to suspend or terminate access for non-payment, chargebacks, or fraudulent payment activity.

6. Acceptable Use

a) use the Service for any unlawful purpose or in violation of any applicable law or regulation, including financial services and market-abuse regulations;
b) reverse-engineer, decompile, or attempt to extract source code from the Service, except as permitted by law;
c) use the Service to interfere with, disrupt, or gain unauthorized access to any system, network, or Trading Platform;
d) misrepresent your identity or use the Service on behalf of a person or entity without authorization;
e) resell, sublicense, or redistribute access to the Service without our prior written consent;
f) use the Service to distribute malware, or to circumvent the security, rate limits, or usage rules of any Trading Platform.

7. Data Usage and Confidentiality

7.1. In the course of providing the Service, we may process data you transmit through the Service, including but not limited to: your User Model configuration, Signals generated, connection metadata, usage logs, and Account information ("Service Data").
7.2. We do not sell, rent, or share your Service Data with third parties for their own marketing, advertising, or commercial purposes. Service Data is used solely for internal purposes, namely to:
- operate, provide, and maintain the Service;
- performance, diagnose technical issues, and ensure security and stability of the Service;
- improve and develop the Service (e.g., aggregated or anonymized analysis); and
- comply with our legal, tax, or regulatory obligations.
7.3. We may share Service Data with third parties only in the following limited circumstances:
- with subprocessors and infrastructure providers (e.g., hosting, cloud, logging providers) strictly to the extent necessary to operate the Service, and bound by confidentiality and data-protection obligations at least as protective as those in this section;
- where required by law, regulation, court order, or a valid request from a competent authority;
- to protect our rights, property, or safety, or that of our Users, e.g., in cases of suspected fraud, abuse, or security incidents;
- in connection with a merger, acquisition, or sale of assets, provided the receiving party agrees to honor the commitments in these Terms;
- with your explicit prior consent.
7.4. We do not access, use, or analyze the content of your trading strategies or User Models beyond what is technically necessary to operate the Service (e.g., relaying Signals). We do not use your User Model logic or strategy content to train models or products offered to other Users or third parties.
7.5. We do not have access to your Trading Platform login, password, or API keys, as the Service does not require or store such credentials.
7.6. We retain Service Data only for as long as necessary for the purposes described above, or as required by applicable law, after which it is deleted or anonymized.

8. Intellectual Property

8.1. The Service, including all software, documentation, branding, and underlying technology, is owned by AlgoMCP or its licensors and is protected by applicable intellectual property laws.
8.2. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own personal or internal business use.
8.3. You retain all rights to your own User Models, code, and trading strategies. You grant AlgoMCP only the limited technical rights necessary to transmit and process data through the Service (e.g., to relay Signals via MCP).

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, UNINTERRUPTED OPERATION, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, UNINTERRUPTED, OR THAT ANY SIGNAL OR CONNECTION WILL BE DELIVERED WITHOUT DELAY OR FAILURE. YOU ACKNOWLEDGE THAT NETWORK, PLATFORM, OR THIRD-PARTY OUTAGES ARE OUTSIDE OUR CONTROL AND MAY AFFECT SERVICE AVAILABILITY.

10. Limitation of Liability

10.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AlgoMCP, ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY TRADING LOSSES, LOST PROFITS, LOSS OF DATA, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE — REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.2. IN ANY EVENT, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES YOU PAID TO US IN THE [3/6/12] MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10.3. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (e.g., liability for fraud or gross negligence, where mandatorily imposed).

11. Indemnification

You agree to indemnify, defend, and hold harmless AlgoMCP and its officers, employees, and affiliates from any claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your User Models or trading activity; (c) your breach of these Terms; or (d) your violation of any law or third-party right.

12. Account Suspension and Termination

12.1. You may cancel your Subscription and stop using the Service at any time in accordance with our cancellation process.
12.2. We may suspend or terminate your Account, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or unlawful activity, or if required to do so by law.
12.3. Termination does not affect any rights or obligations that accrued prior to termination.

13. Changes to These Terms

We may revise these Terms from time to time. The updated version will be posted on our website with a new "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Miscellaneous

14.1. If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.
14.2. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and AlgoMCP regarding the Service.
